Terms & Conditions.

Effective date: October 2, 2026

These Terms and Conditions (the "Terms") govern your use of logogrove.com (the "Site") and the services provided by Logo Grove ("Logo Grove," "we," "us," or "our"). Logo Grove is a trade name of The Digital Crafters LLC, a Michigan limited liability company, which is the contracting party for all Services. In these Terms, "you" and "Client" mean the person or business using the Site or engaging us for Services.

Please read these Terms carefully. By using the Site, submitting an inquiry, or engaging us for Services, you agree to these Terms. If you are accepting on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Site or the Services.

1. Our Services

Logo Grove provides creative and technology services, which may include brand strategy, logo and identity design, packaging, creative direction, website design and development, mobile app development, AI and automation solutions, and digital growth services such as search engine optimization, paid advertising management, content, and conversion optimization (the "Services"). The specific Services, deliverables, timeline, and fees for any engagement are described in a written proposal, quote, statement of work, invoice, or other agreement that we provide and you accept (a "Project Agreement").

2. Project Agreements and Order of Precedence

Each engagement is governed by these Terms together with its Project Agreement. If a Project Agreement conflicts with these Terms, the Project Agreement controls for that engagement. A Project Agreement may be accepted by signature, by written or email confirmation, or by payment of a deposit or invoice.

Work that is not described in a Project Agreement, or changes to the agreed scope, is "Additional Work." We will provide an estimate for Additional Work, and it will be billed as agreed in writing.

3. Fees, Payment, and Taxes

Fees, payment schedules, deposits, and accepted payment methods are set out in the applicable Project Agreement. Unless the Project Agreement says otherwise, invoices are due upon receipt.

Payments made online are processed by third-party payment processors and are subject to their terms.

Late payment terms, including any late fees or interest, are those stated in the applicable Project Agreement. If a payment is late, we may pause work and withhold delivery of final files until the balance is paid.

Fees do not include taxes, which are the Client's responsibility except for taxes on our income. Third-party costs (such as stock assets, font licenses, domains, hosting, plugins, and advertising spend) are billed separately or paid directly by the Client unless the Project Agreement says otherwise.

For advertising management Services, advertising spend is paid to the advertising platform and is separate from our management fees. Platform charges are governed by that platform's terms.

4. Cancellations and Refunds

Cancellation and refund terms for each engagement are those stated in its Project Agreement. These terms differ by type of engagement (for example, a fixed-fee design project, a development project billed by milestone, or a monthly retainer), so please review your Project Agreement before accepting it. Any request to cancel or for a refund should be sent in writing to info@logogrove.com.

Ownership of deliverables transfers only for work that has been paid in full (see Section 7).

5. Client Responsibilities and Client Materials

You agree to provide timely information, feedback, approvals, and access needed to perform the Services. Delays in providing these may extend the timeline and may result in additional fees if the project must be rescheduled.

You are responsible for the accuracy of the content and materials you provide, including text, images, logos, trademarks, and data ("Client Materials"). You confirm that you own or have the right to use all Client Materials and that our use of them as directed by you will not infringe the rights of any third party or violate any law.

You grant us a non-exclusive, royalty-free license to use Client Materials solely to perform the Services.

You are responsible for final review and approval of all deliverables, including spelling, factual accuracy, and legal compliance of content, before they are published or used.

6. Revisions, Approvals, and Delivery

The number of design concepts and revision rounds included in an engagement is stated in the Project Agreement. Revisions beyond that number, or changes after a deliverable has been approved, are Additional Work. If we do not receive requested feedback or approval, we may place the project on hold. Delivery dates are estimates unless the Project Agreement states a firm deadline.

7. Intellectual Property

Final deliverables
Upon our receipt of payment in full for a deliverable, we assign to the Client all of our right, title, and interest in the final, approved version of that deliverable (for example, the final selected logo and the final source files delivered to you), except as described below. Until payment is received in full, all rights in the deliverables remain with us, and any use by the Client is not authorized.

What we keep
Unselected work. Concepts, sketches, drafts, and alternatives that were not selected as final remain our property.
Pre-existing and general materials. We keep ownership of our pre-existing materials, know-how, templates, code libraries, frameworks, tools, and processes. Where these are included in a deliverable, we grant you a non-exclusive, perpetual, royalty-free license to use them as part of that deliverable.
Third-party materials. Fonts, stock images, plugins, open-source software, and other third-party materials are licensed by their owners under their own terms, which you agree to follow. We will tell you when a deliverable includes third-party materials that require a separate license.

Portfolio
Unless the Project Agreement or a confidentiality agreement says otherwise, we may display completed work and the Client's name in our portfolio, on the Site, and in marketing materials after the work has been publicly released.

8. Trademarks and Legal Clearance

Our design Services do not include trademark searches, clearance, or registration, and we do not provide legal advice. Although we create original designs and do not knowingly copy the work of others, we cannot guarantee that a logo or brand name is available for use or registration. We recommend that you consult a qualified trademark attorney before adopting or registering any logo, name, or brand element.

9. Confidentiality

Each party will keep confidential the non-public business, technical, and financial information that the other party shares in connection with an engagement and marked or reasonably understood to be confidential, and will use it only for the purposes of the engagement. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law. A separate confidentiality or non-disclosure agreement, if signed, will control.

10. Use of the Site

The Site and its content, including text, graphics, logos, designs, and code (other than Client work displayed with permission), are owned by or licensed to us and are protected by intellectual property laws. You may view the Site for your personal or internal business purposes. You agree not to:

  • copy, reproduce, or reuse our designs, portfolio work, or Site content without our written permission;
  • use the Site in a way that is unlawful, fraudulent, or harmful, or that interferes with the Site's operation or security;
  • use automated tools to scrape or collect data from the Site, or attempt to gain unauthorized access to any system;
  • submit false information or content that infringes the rights of others.

Your use of the Site is also subject to our Privacy Policy, which explains how we handle personal information.

11. Third-Party Services and Platforms

The Services may depend on third-party platforms, such as hosting providers, content management systems, app stores, search engines, and advertising networks. We are not responsible for the availability, performance, policies, pricing changes, account suspensions, or algorithm changes of those platforms. Results from search engine optimization and advertising Services depend on factors outside our control, and we do not guarantee specific rankings, traffic, leads, sales, or return on advertising spend.

12. Advertising Services and Platform Policies

When we manage advertising for a Client on Google Ads, Meta (Facebook and Instagram), Microsoft Advertising (Bing), or other platforms:

  • Platform policies apply. All campaigns must comply with the advertising policies and terms of each platform, including the Google Ads Policies, Meta Advertising Standards and Business Tools Terms, and Microsoft Advertising Policies, as updated by those platforms from time to time. Each platform makes the final decision on whether an ad, account, or landing page is approved.
  • Accounts. Unless the Project Agreement says otherwise, advertising accounts are created in or transferred to the Client's name, and the Client owns them and pays the platform directly for ad spend. The Client grants us the access needed to perform the Services and may revoke it at any time.
  • Client's website and products. The Client is responsible for ensuring that its products, services, offers, claims, and landing pages are lawful and comply with platform policies, and that its website has an accurate privacy policy and, where required, a cookie consent mechanism for any tracking tags we install at the Client's request. We may recommend changes but are not responsible for the Client's compliance.
  • Disapprovals and suspensions. We are not responsible for ad disapprovals, account restrictions or suspensions, policy changes, billing issues, or tracking limitations imposed by a platform. We will make reasonable efforts to help resolve them, which may be billed as Additional Work.
  • Customer data. If the Client asks us to upload customer lists to a platform (for example, Google Customer Match or Meta Custom Audiences), the Client confirms that it has collected that data lawfully and has given any notices and obtained any consents required by law and by the platform.

13. Disclaimers

Except as expressly stated in a Project Agreement, the Site and the Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if we were told they were possible; and (b) our total liability arising out of or relating to the Site, the Services, or these Terms will not exceed the total fees the Client paid to us under the applicable Project Agreement. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Logo Grove and The Digital Crafters LLC, and their members, managers, team members, and contractors from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from (a) Client Materials, (b) your use of deliverables after delivery, including any trademark or regulatory issues, or (c) your breach of these Terms or a Project Agreement.

16. Term and Termination

These Terms apply for as long as you use the Site or the Services. We may suspend or end access to the Site at any time. Termination of an engagement is governed by the Project Agreement and Section 4. Sections that by their nature should survive (including fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

17. Governing Law and Disputes

These Terms and any Project Agreement are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice and good-faith discussion for at least 30 days. If the dispute is not resolved, it will be brought exclusively in the state or federal courts located in the State of Michigan, and each party consents to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time by posting the revised version on the Site and updating the "Effective date." Changes will not apply retroactively to a Project Agreement already in effect unless both parties agree in writing. Your continued use of the Site after changes are posted means you accept the updated Terms.

19. General

Entire agreement. These Terms, the Privacy Policy, and any Project Agreement are the entire agreement between you and us about their subject matter.
Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of our business.
Independent contractor. We perform the Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
Electronic communications. You agree that agreements, notices, and other communications we provide electronically satisfy any requirement that they be in writing.
